Pazzie owns the copyright in the overall selection, coordination, arrangement and enhancement of such content, and owns the rights in, or license to use, the individual components of such content.

You own all of the content and information you post on the Site. In order for us to use certain types of content and provide you with the Site, you agree to the following:

For content that is covered by intellectual property rights, like photos and videos ("IP content"), you specifically give us the following permission: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with Pazzie ("IP License"). This IP License ends when you delete your IP content or your account (except to the extent your content has been shared with others, and they have not deleted it).

2. When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).

3. We always appreciate your feedback or other suggestions about the Site, but you understand that we may use them without any obligation to compensate you for them (just as you have no obligation to offer them).

INDEMNIFICATION

TO THE FULLEST EXTENT PERMITTED BY LAW THE USER AGREES TO INDEMNIFY, DEFEND AND HOLD HARMLESS PAZZIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND LICENSORS FROM AND AGAINST ALL CLAIMS, ACTIONS LIABILITIES, LOSSES, EXPENSES, DAMAGES AND COSTS (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES) ("CLAIMS") THAT MAY AT ANY TIME BE INCURRED BY ANY OF THEM BY REASON OF ANY CLAIMS, SUITS OR PROCEEDINGS ARISING FROM (I) THE USER'S USE OF THE SITE OR THE PAZZIE INFORMATION OR THE USE OF THE PAZZIE SERVICE OR THE PAZZIE INFORMATION BY ANY OTHER PARTY AUTHORIZED BY USER OR USING USER'S CREDENTIALS AND (II) ANY BREACH BY USER OF ANY REPRESENTATION, WARRANTY OR DUTY HEREUNDER.

Assignment Neither this Agreement nor any rights or obligations of User hereunder may be assigned or delegated by User in whole or in part without the prior written approval of Pazzie. Any assignment or delegation in derogation of the foregoing shall be null and void.

Severability If any part of this Agreement is for any reason found to be unenforceable, all other parts nevertheless remain enforceable as long as a party's rights under this Agreement are not materially affected. In lieu of the unenforceable provision, the parties will substitute or add as part of this Agreement an enforceable provision that will be as similar as possible in economic and business objectives as was intended by the unenforceable provision.

Force Majeure Any failure of Pazzie to perform or delay in the performance of Pazzie's obligations under this Agreement due to any cause or event not reasonably within Pazzie's control, including but not limited to casualty, labor disputes, failure of equipment or carriers or utilities, compliance with governmental authority or Act of God, shall not constitute a breach of this Agreement, and Pazzie's performance shall be excused during such period of delay.

Complete Agreement This Agreement is the complete and exclusive statement of the agreement between Pazzie and User which supersedes any proposal or prior agreement, oral or written, and any other communications between the parties in relation to the subject matter of this Agreement.

Information Provided By You It has been and remains Pazzie's policy not to accept or consider ideas, suggestions or materials other than those that Pazzie has specifically requested from you. Accordingly, Pazzie does not want you to, and you should not, send any confidential or proprietary information to Pazzie through the Site unless specifically requested by Pazzie. Please note that any unsolicited information or material sent to Pazzie will be deemed not to be confidential or proprietary.

By submitting information and material to the Site, you automatically grant to Pazzie (or warrant that the owner of such information and material has expressly granted to Pazzie) a royalty-free, perpetual, irrevocable, unrestricted, right and license to use, reproduce, display, perform, modify, adapt, publish, translate, transmit and distribute, or otherwise make available to other such information and material (in whole or in part and for any purpose) worldwide and/or to incorporate it in other works in any form, media, or technology now known or hereafter developed. You also agree that Pazzie is free to use any ideas, concepts, know-how, or techniques that you send Pazzie for any purpose.

As further provided above, Pazzie does not want to receive, and you are deemed to covenant and agree through the use of the Site not to provide, any information or materials to Pazzie that are defamatory, threatening, obscene, harassing, in violation of any law, governmental requirements or otherwise unlawful, or that incorporate the proprietary information or materials of another person or entity.

You shall not upload, post or otherwise make available on the Site any information and material protected by copyright, trademark or other proprietary right without the express written permission of the owner of such right(s).

You shall be solely liable for any damages resulting from any infringement of copyright, proprietary rights, or any other harm resulting from such a submission.

Changes Pazzie reserves the right, in its sole discretion, to revise these Terms at any time and correct any errors or omissions in any portion of the Site and Materials. Materials may also be changed, modified, added, or removed and updated without notice at any time; however, Pazzie is under no obligation to update Materials.

Pazzie may also make changes in the products, services, programs, or prices (if any) described in the Site at any time without notice. Your continued use of the Site after any change Pazzie makes to the Site will be considered acceptance of those changes.

You should revisit these Terms from time to time to review the then-current Terms because they are binding on you.

Linking to Site Anyone linking to Pazzie's Site must comply with Pazzie's guidelines for linking to Pazzie's Site and all applicable laws.

International Users The Site is administered by Pazzie from its offices in the United States. Pazzie makes no representation that the Materials at the Site are appropriate or available for use at other locations outside of the United States and access to them from territories where their contents are illegal is prohibited.

You may not use the Site or export information and materials in violation of the export laws of the United States or any other country. If you access the Site from a location outside of the United States, you are responsible for compliance with all applicable laws.

Governing Law These Terms shall be governed by the laws of the State of California in the United States, without giving effect to any principles of conflicts of law. If any provision of this Agreement and Terms shall be unlawful, void, or for any reason unenforceable then that provision shall be severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

These Terms constitute the entire agreement between Pazzie and you with respect to your use of the Site. Any cause of action you may have with respect to your use of the Site must be commenced within six (6) months after the claim or cause of action arises.
